These Terms of Service ("Terms") govern your access to and use of mirxaa.com and all related websites, applications, products, software, content, tools, and services provided by Mirxaa ("Mirxaa," "we," "our," or "us").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. ELIGIBILITY
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services unless otherwise permitted by applicable law.
By using the Services, you represent and warrant that:
- you have the legal capacity to enter into these Terms;
- the information you provide is accurate and current;
- you will comply with these Terms and all applicable laws.
2. ACCOUNT REGISTRATION
To access certain features, you may need to create an account. You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activities that occur under your account;
- providing accurate, complete, and updated information.
You must notify us immediately if you believe your account has been accessed without authorization.
We reserve the right to suspend or terminate accounts that violate these Terms or create risk for Mirxaa, its users, or third parties.
3. SERVICES
Mirxaa provides AI-powered tools and digital services, which may include:
- AI content generation;
- agentic automation;
- social media management;
- chatbot and messaging integrations;
- digital avatars and AI twin features;
- life archive and memory storage tools;
- memory capsules and legacy tools;
- workflow automation;
- analytics and reporting;
- team collaboration features.
Some features may depend on third-party providers, APIs, integrations, permissions, or platform availability. We do not guarantee uninterrupted availability of any third-party connected feature.
4. USER CONTENT
You retain ownership of the content you upload, submit, record, store, or generate through the Services, including text, media, files, archives, voice notes, videos, messages, training material, and other inputs ("User Content").
You grant Mirxaa a limited, non-exclusive, worldwide license to host, store, reproduce, modify, process, transmit, and display your User Content only as necessary to:
- operate and provide the Services;
- improve functionality and security;
- generate outputs requested by you;
- support integrations and automations you enable;
- comply with legal obligations.
You represent and warrant that:
- you own your User Content or have all rights and permissions necessary to use it;
- your User Content does not violate any law or third-party right;
- your User Content does not infringe privacy, publicity, copyright, trademark, contract, or other rights;
- you have obtained all necessary permissions for any voice, image, likeness, identity, legacy, or memorial-related material you upload.
5. AI FEATURES AND OUTPUTS
The Services may generate content, suggestions, summaries, analyses, posts, replies, avatar interactions, recommendations, or other outputs using artificial intelligence.
You understand and agree that:
- AI outputs may be inaccurate, incomplete, delayed, biased, or inappropriate;
- AI outputs are provided for assistance purposes only;
- you are solely responsible for reviewing, approving, editing, and verifying outputs before relying on, publishing, sending, or acting on them;
- Mirxaa does not guarantee the accuracy, legality, compliance, safety, or fitness of AI-generated outputs for any purpose.
You are fully responsible for your use of any output generated through the Services.
6. DIGITAL AVATARS, LEGACY, AND MEMORIAL FEATURES
Mirxaa may allow users to create digital avatars, memory archives, legacy content, memorial settings, or AI systems trained on personal identity, history, values, communication style, likeness, voice, or personal materials.
By using these features, you acknowledge and agree that:
- you are solely responsible for the content and permissions used to build such features;
- any avatar or legacy configuration must comply with applicable law and third-party rights;
- memorial, posthumous, or family-access features must only be used with proper authorization and lawful consent;
- Mirxaa does not independently verify the truth, legal authority, or family permissions behind such uploaded materials;
- users and authorized account owners remain responsible for configuring privacy, access, and disclosure settings.
Mirxaa may require clear disclosure that an interaction is with an AI-generated or AI-assisted system and not a live human.
7. ACCEPTABLE USE
You agree not to use the Services to:
- violate any law or regulation;
- infringe intellectual property, privacy, publicity, or other rights;
- upload or distribute unlawful, fraudulent, defamatory, harmful, abusive, threatening, hateful, or deceptive content;
- impersonate another person unlawfully or deceptively;
- misuse likeness, identity, or voice without proper rights or permission;
- harass, exploit, or harm others;
- generate spam, malware, or malicious code;
- interfere with the integrity, security, performance, or operation of the Services;
- attempt unauthorized access to any account, system, or network;
- reverse engineer, scrape, copy, or exploit the Services except as allowed by law;
- use the Services in a way that violates third-party platform terms or policies;
- use AI avatar, memorial, or social automation features in a misleading, manipulative, or exploitative manner.
We may investigate and take action against misuse, including suspension, removal of content, restriction of access, or legal escalation where appropriate.
8. THIRD-PARTY INTEGRATIONS
The Services may connect with third-party services such as social networks, messaging apps, hosting providers, payment platforms, AI providers, analytics tools, and storage services.
By connecting a third-party service, you authorize Mirxaa to access and interact with that service as necessary to provide requested functionality.
You are responsible for:
- complying with the terms and policies of any connected third-party service;
- maintaining lawful permissions to access and use connected accounts;
- understanding that third-party features may change, break, or become unavailable.
Mirxaa is not responsible for third-party outages, restrictions, suspensions, API changes, policy changes, or losses caused by third-party platforms.
9. SUBSCRIPTIONS, FEES, AND BILLING
Some features of the Services may require payment.
By purchasing a plan or subscription, you agree that:
- you will pay all applicable fees and taxes;
- billing terms, plan details, and included features will be disclosed at the time of purchase;
- subscriptions may renew automatically unless canceled before the renewal date;
- fees are non-refundable except where required by law or expressly stated by us.
We reserve the right to change pricing, plans, or features at any time. Any such changes will apply prospectively and, where required, with notice.
10. INTELLECTUAL PROPERTY
The Services, including our software, code, design, visual interface, branding, trademarks, content structure, workflows, and proprietary systems, are owned by or licensed to Mirxaa and are protected by applicable intellectual property laws.
Except as expressly permitted, you may not:
- copy, reproduce, distribute, license, sell, lease, modify, or create derivative works from the Services;
- use our trademarks or branding without written permission;
- access or use the Services to build a competing service or product.
11. PRIVACY
Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that we may collect, use, and process your information as described in that policy.
12. TERMINATION
We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if:
- you violate these Terms;
- your use creates legal, operational, reputational, or security risk;
- we are required to do so by law;
- fees remain unpaid;
- a connected provider revokes required access or permissions.
You may stop using the Services at any time.
Upon termination, your right to use the Services ends immediately. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, and governing law.
13. DISCLAIMERS
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE FULLEST EXTENT PERMITTED BY LAW.
MIRXAA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AVAILABILITY, AND PERFORMANCE.
We do not guarantee that:
- the Services will be uninterrupted, error-free, or secure;
- any AI output will be accurate, lawful, safe, or suitable for your needs;
- any third-party integration will remain available;
- any social media, business, legal, personal, memorial, or commercial outcome will be achieved.
14. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, MIRXAA AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR REPUTATION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, MIRXAA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO MIRXAA IN THE 12 MONTHS BEFORE THE CLAIM AROSE; OR
- USD 100.
15. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Mirxaa and its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising from or related to:
- your use of the Services;
- your User Content;
- your violation of these Terms;
- your violation of any applicable law;
- your violation of any third-party right;
- your misuse of AI, legacy, memorial, social automation, avatar, or communication features.
16. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Mirxaa is lawfully established, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction, unless applicable law requires otherwise.
17. CHANGES TO THESE TERMS
We may update these Terms from time to time. If we do, we will post the updated version and revise the Last Updated date above.
By continuing to use the Services after updated Terms become effective, you agree to the revised Terms.
